Your Responsibilities

• Respond to requests for assets/content required to deliver services.

SMS Messaging and Consent (A2P Compliance)

By submitting a form and providing your phone number, you consent to receive SMS messages from Stratum Digital related to your inquiry, account, and marketing services. Message and data rates may apply. Message frequency may vary. Reply STOP to opt out at any time and HELP for support. Consent is not a condition of purchase. Carriers are not liable for delayed or undelivered messages.

Billing

Fees, billing cadence, and scope are defined in the proposal or order you approve. Unless otherwise stated, charges are due upon receipt and may be automatically billed to the payment method on file. Taxes, third-party ad spend, and platform fees are your responsibility. Any free or promotional periods are provided at our discretion and may require a valid credit card on file.

Marketing outcomes vary. We do not guarantee specific rankings, traffic, leads, or revenue. Statements about potential results are estimates based on past experience and are not guarantees.

Limitation of Liability

To the maximum extent permitted by law, Stratum Digital is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the services.

Indemnification

You agree to indemnify and hold Stratum Digital harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the services, or your violation of these Terms or any law.

Intellectual Property

All materials we create remain our intellectual property unless otherwise agreed in writing. You are granted a limited license to use deliverables for your internal business purposes.

Termination

We may suspend or terminate services for non-payment, breach of these Terms, or unlawful activity. Upon termination, your right to access services ceases.

These Terms are governed by the laws of the State of Idaho, without regard to its conflict of laws principles.
